Terms of service
The agreement between you and Laayo Services Pvt. Ltd. for the use of Qora.
Effective 11 September 2026.
1. Who you are contracting with
Qora is a product of Laayo Services Pvt. Ltd., a company registered in Nepal (registration 385869/82/83, PAN 623551868), with its registered office at New Kanchanjunga Tole, Birtamode-03, Jhapa, Nepal. In these terms, "we", "us" and "Qora" mean that company. "You" means the business that opens a Qora account, and anyone you authorise to use it.
By creating an account or using the API you accept these terms. If you are accepting on behalf of a business, you confirm you are authorised to bind it.
2. What Qora is, and what it is not
Qora is a software provider. It is not a bank. How your customers' money reaches you depends on which way you take payments with us, and the difference matters.
On your own Fonepay account, Qora uses your own Fonepay merchant credentials to generate dynamic QR codes on your own Fonepay account. When a customer pays, Fonepay settles that money directly to the bank account registered against your Fonepay merchant record. Those funds never pass through an account controlled by us.
On Collect with Qora — available only to businesses that have signed and returned our Payment Collection Agreement and been approved — QR codes are generated on our collection account. Money your customers pay is received by us on your behalf, held as a balance owed to you, and paid out to your registered bank account when you request it, as that agreement sets out. Where the agreement and these terms differ on collection or withdrawal, the agreement applies.
On your own account, questions about settlement timing and amounts are between you, Fonepay and your bank. On Collect with Qora, your dashboard statement shows every amount we have received, held and paid out for you. Chargebacks and disputes with your customers remain between you and them in both cases.
3. Your account
You must give accurate business information and keep it current. You are responsible for everything done through your account, including by your staff and by anything holding your API keys.
Secret API keys are shown once, at creation, and stored only as a hash. We cannot recover one for you. Treat a secret key like a password: server-side only, never in a mobile app, browser bundle or repository. If one is exposed, revoke it from the dashboard immediately — a revoked key stops working at once.
Test mode is available from signup and is free. Live mode requires that you complete business verification and connect your own Fonepay credentials.
4. Verification
Before you can accept real payments we ask you to verify your email address and phone number, and to submit business details and supporting documents. We do this to establish that a real, identifiable business is behind the account.
We may decline an application, or later suspend an account, where information is inaccurate, where documents cannot be verified, or where we reasonably believe the account is being used unlawfully. Where we suspend an account we will tell you why, unless we are prevented from doing so.
5. Your Fonepay credentials
You supply your own Fonepay merchant credentials. They are encrypted at rest and used only to generate QR codes and to check the status of payments you created through Qora.
We interact with Fonepay solely through its documented merchant API. We do not store your Fonepay portal password for the purpose of logging into the portal on your behalf, and we do not scrape or automate the Fonepay merchant portal.
Your use of Fonepay remains governed by your own agreement with Fonepay and with your bank. Nothing here changes it, and we are not a party to it.
6. Fees and payment
Qora charges a subscription and a per-transaction software fee, both published on our pricing page. These are fees for software, billed to you. They are not deducted from your customers' payments, which we have no ability to touch.
Fees are drawn from a prepaid credit balance you top up in advance. The fee for a payment is fixed when that payment is created, so a later change to our pricing does not change the cost of a payment already made. Test-mode traffic is free.
If your balance runs out, fees continue to accrue and the balance may go negative rather than a payment being blocked — we would rather show you an honest debt than fail a payment your customer has already made. A negative balance is payable on demand, and we may suspend live mode until it is cleared.
Top-ups are collected through Laayo's payment gateway. Prepaid credit is not refundable in cash, but any unused balance remains available for fees for as long as your account is open.
7. Acceptable use
You may not use Qora to:
- accept payments for anything unlawful in Nepal, or that you are not licensed to sell;
- collect money on behalf of a third party whose identity you have not disclosed to us;
- disguise the nature of a transaction, or the identity of the business receiving it;
- evade tax, launder money, or finance anything prohibited by Nepali law;
- attack, overload or attempt to gain unauthorised access to our systems, or to another merchant's data.
Rate limits apply to the API and are published in the documentation. Sustained attempts to work around them are a breach of these terms.
8. Availability
We work to keep Qora available, but we do not promise uninterrupted service, and we depend on systems we do not control — Fonepay, banks, telecom networks and hosting providers. Payment confirmation is designed to survive our own outages: a payment is reconciled against Fonepay's records once service returns, so an interruption on our side does not lose a payment your customer made.
We may change, add to or withdraw features. Where a change would break an existing API integration, we will version it and give reasonable notice in the changelog.
9. Liability
Nothing in these terms excludes liability for fraud, or for anything that cannot be excluded under Nepali law.
Subject to that, we are not liable for indirect or consequential loss, for lost profits or lost business, or for money that never passed through our systems — in particular, for funds settled by Fonepay to your bank account. Our total liability for any claim is limited to the fees you paid us in the three months before the claim arose.
Qora is provided as it is. We make no warranty that it will meet a particular business requirement.
10. Ending the agreement
You may close your account at any time. We may end this agreement on reasonable notice, or immediately where you have breached these terms, where we are required to by law, or where continuing would expose us or other merchants to serious risk.
When an account closes, your ability to create new payments stops. Records we are required to keep — transaction records, verification documents, audit logs — are retained for the periods described in our privacy policy.
11. Governing law
These terms are governed by the laws of Nepal, and the courts of Jhapa have jurisdiction over any dispute. We would much rather resolve a problem by email first — write to support@laayo.com.np.
12. Changes
We may update these terms. Where a change materially affects your rights we will tell you by email before it takes effect. The date at the top of this page is always the date of the current version.
